Responsible AI and Adaptive Operational Intelligence Disclosure
This Responsible AI and Adaptive Operational Intelligence Disclosure ("AI Disclosure") describes how MiseCentral LLC ("MiseCentral") designs, deploys, and governs artificial intelligence and machine-learning capabilities in the Services, including Company Brain, Operational Intelligence, Work Intelligence, and related features that generate Operational Recommendations. This AI Disclosure supplements the Agreement, Privacy Policy, and Documentation. Capitalized terms have the meanings in the MiseCentral Legal Drafting Canon unless defined here.
1. Purpose and Scope
1.1. MiseCentral provides Adaptive Operational Intelligence to help hospitality operators organize work, understand Operational State, and act on insights derived from Customer Data and configured operational context.
1.2. This AI Disclosure applies to AI-enabled features in the Services. It does not apply to third-party Connected Services unless expressly identified by MiseCentral as governed by this disclosure.
1.3. MiseCentral does not market the Services as a medical device, autonomous food-safety certification system, or substitute for qualified human judgment in regulated operations.
2. What the AI Capabilities Do
2.1. Company Brain and Operational Intelligence analyze operational records, schedules, assignments, quality events, inventory movements, traceability data, and related Customer Data to surface patterns, alerts, summaries, and Operational Recommendations.
2.2. Work Intelligence, Adaptive Scheduling, and Adaptive Work Execution prioritize and guide tasks across hospitality workflows based on Customer-defined rules, operational signals, and learned patterns within the Customer organization.
2.3. Operational Recommendations may include suggested priorities, forecasted demand or workload indicators, recommended assignments, guided checklists, or ranked actions. Outputs are probabilistic and context-dependent.
2.4. Operational Evidence such as timestamps, attributions, inputs considered, and change history may be retained to support review, audit, and explainability within the Services.
3. Advisory Nature of Outputs
3.1. Operational Recommendations are advisory only. They do not constitute commands, guarantees, or professional advice.
3.2. Customer remains solely responsible for operational, food-safety, quality, staffing, inventory, regulatory, and business decisions, including whether to follow, modify, or reject any Operational Recommendation.
3.3. Customer must maintain qualified personnel, standard operating procedures, and compliance programs appropriate to its facilities and jurisdictions.
3.4. MiseCentral does not assume responsibility for outcomes resulting from Customer's operational choices, failure to validate recommendations, or incomplete or inaccurate Customer Data.
4. Data Use for AI Features
4.1. AI-enabled features process Customer Data to provide the Services to Customer, consistent with the Agreement and DPA.
4.2. No Unauthorized Foundation Model Training. MiseCentral does not use Customer Data to train foundation models for unrelated customers unless Customer provides documented authorization.
4.3. Aggregated and De-identified Improvements. MiseCentral may use Aggregated Data that cannot reasonably identify Customer or individuals to improve reliability, security, and general Service performance, as permitted in the Agreement.
4.4. Human Review. MiseCentral personnel do not routinely review Customer Data for the purpose of improving models except for security, support, legal compliance, or other permitted purposes under the Agreement, including ticket-bound Support Mode.
4.5. Connected Services. Data received from Connected Services is processed according to Customer configuration. Customer is responsible for integration scope and lawful transfer of such data.
5. Transparency and Explainability
5.1. Where feasible, the Services present context for Operational Recommendations, such as triggering conditions, related records, or confidence indicators, as described in Documentation.
5.2. Explainability features vary by workflow and release. MiseCentral continues to enhance transparency tools without guaranteeing complete algorithmic interpretability for every output.
5.3. Customers may export Operational Evidence and audit logs where enabled to support internal review.
6. Accuracy, Bias, and Limitations
6.1. AI outputs may be incomplete, outdated, or incorrect due to data quality, sensor latency, integration gaps, seasonal variation, or model limitations.
6.2. MiseCentral implements testing, monitoring, and feedback mechanisms designed to reduce harmful errors and unfair bias in operational recommendations, but no system is error-free.
6.3. Customer should validate recommendations against ground truth, local conditions, and applicable standards before taking action, especially for food safety, allergen control, temperature compliance, and traceability.
6.4. Beta or preview AI features, if offered, may have reduced accuracy or support and will be identified in Documentation or release notes.
7. Governance and Human Oversight
7.1. Customers control feature enablement, roles, permissions, and workflow policies that determine who may view or act on Operational Recommendations.
7.2. Support Mode and Partner Support Mode provide governed human assistance without impersonating Customer users. AI features do not replace Customer's obligation to supervise frontline operations.
7.3. MiseCentral maintains internal policies for responsible development, security review, and escalation of AI-related defects or incidents.
8. Regulatory and Enterprise Considerations
8.1. Customers in regulated industries remain responsible for determining whether use of the Services satisfies their legal obligations, including recordkeeping, HACCP programs, labor rules, and privacy requirements.
8.2. Enterprise Customers may request additional AI terms, subprocessors disclosures, or risk assessments through their Order Form or security addenda.
8.3. MiseCentral monitors evolving AI and automated-decision-making laws and updates this AI Disclosure and commercial terms as appropriate.
9. Reporting Concerns
9.1. Customers and Authorized Users may report suspected harmful, discriminatory, or materially inaccurate AI behavior to:
MiseCentral LLC Attn: AI Governance 8 The Green, Suite A Dover, DE 19901 United States ai-governance@misecentral.com
9.2. Include organization name, feature area, approximate time, and description of the concern. MiseCentral will review reports according to support and incident procedures.
10. Changes
10.1. We may update this AI Disclosure as capabilities and legal expectations evolve. Material changes will be posted with an updated "Last Updated" date and, where required by Agreement, communicated to Customers.
