Renewal Policy

This Renewal Policy ("Policy") is incorporated into the Agreement between MiseCentral LLC ("MiseCentral") and Customer. It describes subscription renewal, non-renewal, and pricing changes.

1. Automatic Renewal

1.1. Unless Customer cancels renewal or the Order Form states otherwise, each Subscription Term automatically renews for successive periods equal to the initial term (monthly or annual).

1.2. Renewal charges the payment method on file or issues an invoice per Order Form terms at the then-current rates for the subscribed plan and seats, unless a fixed renewal rate is stated on the Order Form.

1.3. Customer authorizes renewal charges when accepting the Agreement and maintaining a valid payment method or approved invoice arrangement.

2. Renewal Notice

2.1. Self-Serve Subscriptions. MiseCentral sends renewal reminders to billing contacts and administrators before annual renewals and before material price changes affecting the next term. Reminders include renewal date, plan, seat count, and estimated charge.

2.2. Enterprise Subscriptions. Enterprise Customers receive renewal notice per Order Form terms (default thirty (30) days before renewal unless otherwise stated).

2.3. Trial Conversion. Trial ending notices are sent before trial expiration, describing conversion options and pricing.

2.4. Notice methods include email and in-app billing announcements.

3. Non-Renewal and Cancellation

3.1. Customer may prevent automatic renewal by canceling at period end through account settings or by providing non-renewal notice as stated on an enterprise Order Form.

3.2. Non-renewal takes effect at the end of the current prepaid Subscription Term. Access continues through that date.

3.3. Canceling renewal is not organization deletion. Customer Data export options during wind-down follow the Billing Policy.

3.4. If Customer takes no action before renewal, the subscription renews and applicable fees are charged.

4. Pricing Changes

4.1. Mid-Term. MiseCentral will not increase Subscription fees during an active prepaid Subscription Term except for: (a) confirmed plan upgrades or seat increases; (b) changes required by law; or (c) fees stated as variable on the Order Form.

4.2. At Renewal. MiseCentral may change list pricing for renewals effective on or after the renewal date. Customer receives advance notice before the new price applies.

4.3. Fixed Pricing. If the Order Form specifies fixed renewal pricing for a stated number of renewal terms, that pricing applies for those terms.

4.4. Grandfathering. MiseCentral is not obligated to grandfather expired promotional pricing beyond the stated promotional term.

5. Plan and Seat State at Renewal

5.1. Renewals include the plan and licensed seat count on record at renewal unless Customer changes them before renewal.

5.2. Pending downgrades or seat decreases scheduled for renewal take effect at renewal as confirmed in the billing portal.

5.3. Feature entitlements at renewal follow the then-current Documentation for the subscribed plan, subject to Section 4 and the Agreement's commitment not to materially reduce core functionality mid-term without remedy.

6. Enterprise Renewal and Purchase Orders

6.1. Enterprise Customers may require PO coverage for renewal invoices as stated on the Order Form.

6.2. Customer is responsible for issuing renewal POs timely so payment terms can be met.

6.3. MiseCentral may provide renewal quotes upon request for procurement records.

6.4. Multi-year Order Forms renew per their stated schedule without requiring a new Order Form each year unless the Parties agree otherwise.

7. Lapsed Subscriptions

7.1. If renewal payment fails or enterprise invoice is not paid, the Billing Policy grace and suspension framework applies.

7.2. If a subscription expires without renewal or recovery, access ends and Customer Data is retained for the export period in the Billing Policy before scheduled deletion under retention procedures.

7.3. Customer may reactivate within retention windows by updating payment or contacting MiseCentral, subject to then-current pricing and plan availability.

8. Policy Updates

MiseCentral may update this Policy with notice before changes apply to an existing paid Subscription Term.
